OVERVIEW

This website and online store are operated by IW Publications Ltd, trading as Pryntyx (“Pryntyx”, “we”, “us” or “our”). IW Publications Ltd is a company registered in England and Wales under company number 03711246, with its registered office at 3 Randall Avenue, London, NW2 7RL, United Kingdom.

Throughout these Terms, “Services” means our website, online store, products, services and related features.

By visiting our website, using our Services or placing an order with us, you agree to these Terms of Service together with our Privacy Policy, Returns & Refunds Policy and any other policies referred to on our website.

Nothing in these Terms affects any statutory rights you may have under applicable consumer law.

1. USING OUR WEBSITE

You may use our website and Services only for lawful purposes.

You are responsible for ensuring that information you provide to us, including your name, email address, billing information, delivery address and order information, is accurate and complete.

If you create an account, you are responsible for keeping your account credentials secure.

2. OUR PRODUCTS

We make reasonable efforts to describe and display our products accurately. However, colours and appearance can vary between screens, devices, printing processes and materials.

Images, mock-ups and product photographs shown on our website are intended to provide a reasonable representation of the finished product but may not reproduce every characteristic exactly.

Product specifications, availability and descriptions may change from time to time. We may discontinue products or change the products and options we offer without prior notice.

3. PERSONALISED AND CUSTOM-MADE PRODUCTS

Many Pryntyx products are produced specifically for you using artwork, photographs, logos, text or other content supplied by you.

You are responsible for checking the content of your design before submitting your order, including spelling, names, dates, numbers, image selection and other details.

Where reasonably possible, we check uploaded artwork for obvious production-related issues. This check is not a proofreading or design-approval service and does not transfer responsibility for the content of your submitted artwork to us.

Artwork may need to be resized, positioned or cropped to suit the printable area of the product you order.

Please also refer to our Artwork & File Guidelines for information about artwork quality, resolution, colour and file preparation.

4. CUSTOMER-SUPPLIED ARTWORK AND INTELLECTUAL PROPERTY

You retain ownership of artwork, photographs, logos and other content that you own and upload to us.

By uploading or otherwise providing content to Pryntyx, you grant us a non-exclusive licence to use, reproduce, resize, crop, position, adapt and transmit that content to the extent reasonably necessary to process your order, manufacture your products, provide customer service and deal with any production or delivery issue relating to your order.

You confirm that you own the content you provide or have all necessary rights, licences and permissions to use it and to authorise us and our production partners to reproduce it.

You must not upload or ask us to reproduce content that infringes another person's copyright, trade mark, privacy or other rights, or content that is unlawful.

We may refuse, cancel or suspend an order where we reasonably believe that supplied content is unlawful, infringes third-party rights or cannot lawfully be reproduced.

5. ORDERS

When you place an order, you are making an offer to purchase the products in your order. An order is subject to our acceptance and successful payment processing.

Please check your order carefully before submitting it.

Because personalised and custom-made products can enter production quickly, we may not be able to change or cancel an order after production has begun.

If we cannot accept or fulfil an order, we will contact you using the information provided with your order and, where appropriate, refund any amount paid for the affected product.

Our cancellation and returns arrangements are explained in our Returns & Refunds Policy.

6. BUSINESS AND TEAM ORDERS

Our products may be purchased by individuals, businesses, organisations, clubs, teams and other customers.

If you place an order on behalf of a business or organisation, you confirm that you have authority to place that order and to supply any logos, branding, artwork or other content submitted with it.

Additional terms or quotations may apply to larger, bespoke or business orders where these have been agreed with us separately.

7. PRICES AND PAYMENT

Prices shown on our website are the prices applicable when you place your order, subject to any obvious pricing error.

Delivery charges are shown separately where applicable before you complete checkout.

We may change prices at any time, but a subsequent price change will not normally affect an order we have already accepted.

You must provide accurate and authorised payment information. Payment processing may be provided by Shopify or other third-party payment providers.

8. DELIVERY

Available delivery methods, estimated delivery times and charges are displayed on our website or during checkout.

Delivery dates and transit times are estimates unless we expressly agree otherwise. Production and delivery can occasionally be affected by circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Please contact us promptly if you discover an error in your delivery information.

Nothing in this section limits rights or remedies that cannot lawfully be excluded under applicable consumer law.

9. RELATIONSHIP WITH SHOPIFY

Pryntyx is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Pryntyx. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Pryntyx, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Pryntyx.

10. OUR INTELLECTUAL PROPERTY

Unless otherwise stated, the Pryntyx website, branding, logos, graphics, text and other materials created or owned by us are protected by applicable intellectual-property laws.

You may not reproduce, distribute, modify, commercially exploit or use our intellectual property without our permission, except where permitted by law.

Third-party names, brands, trademarks and other intellectual property remain the property of their respective owners.

11. THIRD-PARTY SERVICES

Our Services may use or provide access to services supplied by third parties, including payment, ecommerce, file-upload, manufacturing, fulfilment and delivery providers.

Your information may be shared with relevant service providers where necessary to process and fulfil your order, subject to our Privacy Policy and applicable data-protection law.

Our website may also contain links to third-party websites. We are not responsible for the content, availability or practices of websites that we do not operate.

Our store is powered by Shopify. Shopify processes certain personal information in connection with providing its ecommerce services.

Occasionally, information on our website may contain errors or omissions relating to product descriptions, specifications, prices, promotions, availability, delivery charges or other information.

We may correct errors and update information where necessary.

If an error materially affects an order you have already placed, we will contact you and take appropriate action, which may include giving you the opportunity to confirm or cancel the affected order.

15. RETURNS, REFUNDS AND CANCELLATIONS

Our Returns & Refunds Policy forms part of these Terms.

Because many of our products are personalised or made to a customer's specification, ordinary change-of-mind cancellation or return rights may not apply once production has begun.

This does not affect your statutory rights where goods are faulty, damaged, not as described or otherwise fail to meet requirements imposed by applicable law.

16. LIABILITY

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

If you are purchasing as a consumer, nothing in these Terms limits the statutory rights and remedies available to you under applicable consumer law.

To the extent permitted by law, we are not responsible for losses that were not reasonably foreseeable when the contract was formed or losses caused by events outside our reasonable control.

If you are purchasing wholly or mainly for business purposes, we will not be liable for loss of profits, loss of business, business interruption or loss of business opportunity except where liability cannot lawfully be excluded.

17. TERMINATION

We may suspend or terminate access to our Services where you materially breach these Terms, misuse our Services or engage in unlawful activity.

Terms which by their nature should continue after termination will remain effective.

18. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary, without affecting the validity of the remaining provisions.

If we do not immediately enforce a right under these Terms, this does not mean that we have waived that right.

We may update these Terms from time to time, for example to reflect changes to our Services, business practices or applicable law.

The current version will be published on this page. Changes will not retrospectively remove rights that have already arisen under an accepted order.

21. GOVERNING LAW

These Terms are governed by the laws of England and Wales.

If you are a consumer, you will retain any mandatory protections and rights to bring proceedings that apply to you under applicable law.

If you are purchasing wholly or mainly for business purposes, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or our Services.
